China Education Alliance Announces Partial Exercise of Over-Allotment Option

HARBIN, China, Oct. 13 /PRNewswire-Asia-FirstCall/ -- China Education Alliance, Inc. (NYSE Amex: CEU), a China-based education resource and service company, today announced that the underwriter of its recent public offering of common stock has exercised a portion of its over-allotment option, resulting in the issuance of an additional 434,308 shares. The option was granted in connection with the public offering of 3,162,055 shares of common stock at a public offering price of $5.50 per share, which closed on October 5, 2009.

The exercise of the over-allotment option brings the total gross proceeds of the public offering to $19.8 million. China Education Alliance intends to use the net proceeds from the offering for general corporate purposes and working capital.

Rodman & Renshaw, LLC, a subsidiary of Rodman & Renshaw Capital Group, Inc. (Nasdaq: RODM - News) acted as sole book-running manager for the offering.
