China Voice Holding Corp. (OTC: CHVC) is a U.S. publicly-traded holding company headquartered in South Florida with a portfolio of next-generation communications products and services doing business in the U.S. and the People’s Republic of China, where the Company has obtained full legal status as a licensed Chinese telecommunications company.

CHVC Owns Large Collection Next Generation License in China
In China, CHVC owns valuable intellectual property and has assembled one of the world’s largest collections of next generation technology licenses. These licenses give CHVC full legal status as an approved and licensed telecommunications company to provide VoIP, telecommunication and office automation services throughout China. With a population of 1.3 billion, the Chinese telecommunications market is the largest and fastest growing in the world, China has the worlds largest broadband subscriber base exceeding the U.S. in 2007 and also has the worlds largest mobile and fixed line subscriber base.
CHVC Fully Licensed Telco in China
CHVC has the ability to do business as a fully licensed, chartered Telco in China with complete government sanctioning for advanced hosted voice and data services. This legal status allows full operation in an open and visible way. This aspect of CHVC’s operations in China is very difficult to achieve but provides a distinct competitive advantage over gray market unlicensed service providers.
In addition, CHVC has operational licenses with most of the large state-owned Telcos that permit co-location, fully legal interconnections among the Company’s technical systems and China’s public telephone system. This allows CHVC to be a facility-based provider employing its own technical platform under its own control and management, permitting the Company to set and maintain very high service standards.
China Backlog
CHVC currently has five contracts with three large government agencies in China that call for the installation of 103,000 seats. Today, a seat consists of a SKY O/A office automation license and configuration and IP Phone/ ITA VoIP end device or GSM terminal to deliver telephone services. The Company has installed approximately 1,000 seats, trained two groups of CUC personnel for installation and customer support. Over recent months the deployment of VoIP telephone services by China Unicom has been slower than anticipated due to quality of service problems with China’s Internet as well as the quality of IP network hardware utilized throughout the Country. For this reason, CHVC is working closely with China Unicom and China Mobile to utilize its wireless GSM system as an alternative to the VoIP telephone services for our contract deployments.

New Service Model in China with Limited Competition
The Company’s advanced hosted application services provide service models that are new to China with little competition and are very attractive to both corporate and government prospects. The fact that CHVC’s software was written in Chinese by Chinese Nationals and is patented and licensed in China gives the Company’s government customers extra comfort in very sensitive and secure environments.
No other technology compares to the Company’s full suite of voice and data communications, document management and workflow and related services and solutions. In addition, VoIP or Internet Telephony sold by itself is not legal in China, however when integrated into the SKY O/A application, it is perfectly legal and licensed by the Government. When VoIP is integrated into the OA platform it enables each agency to manage and administer all telephony functions and features.
CHVC Relationships in China
CHVC’s growth strategy is represented by existing relationships with telecommunications companies and government entities. CHVC’s Chinese subsidiary, Candidsoft, has enjoyed many long-term relationships with numerous government and academic customers, such as China Foreign Trade Commission, China Telecommunication Administration Bureau, China Tourism Bureau, China National Anti-Poverty Organization (NAPO), Navigation Affair Administration Bureau of the GuangXi Autonomous Region, Guang Xi Land Transport Bureau, Beijing Normal University, and Zhong Shan University.
CHVC has signed agreements with Chinese telecommunications carriers China Mobile and China Unicom, to provide CHVC with preferential rates and cooperation. The agreements call for these carriers to provide connectivity, network expansion, installation, billing, collection and on-going support of CHVC government contracts.

CHVC Subsidiaries
Vastland Holdings (Beijing) Co. Ltd.
In July 2007 Vastland Holdings (Beijing) Co. Ltd. (”Vastland”) was formed as a Wholly Owned Foreign Entity (”WOFE”) incorporated in the People’s Republic of China through a Singapore-domiciled company VoIUM Communications Pte Ltd.
Vastland is registered as a high-tech industry Company in China. This entity enables foreigners to legally operate and move funds in and out of China through an established banking relationship with HSBC.
Sino Beyond Limited
In July 2009 CHVC acquired Sino Beyond Limited, a Hong Kong company. Shortly after the acquisition, CHVC injected company valuable assets into this entity which have been certified by Certified Public Accountants, BDO Limited. During 2010 CHVC plans to use Sino Beyond’s securities to acquire complementary Chinese businesses to support CHVC’s current China operations.
Candidsoft Technologies Company Ltd. of Beijing, Inc.
Candidsoft Technologies Company Ltd. of Beijing, Inc. (Candidsoft), is an international software company based in the Zhong-Guan-Cun Science and Technology Park in Beijing, China. CandidSoft has used local expertise to research, develop, and establish information and communication platforms for business and government applications. CandidSoft uses “SKY O/A” as the product trademark and separates its proprietary and copyrighted products into three general categories: O/A Cooperative Office Solutions, O/A Integrated Office Solutions, and O/A Unified Processing Solutions.
The Company provides office automation and integration services to government, academic and commercial customers and has developed China’s first copyrighted Office Automation application, in large part guided by the needs of Chinese Government Agencies. This platform was designed for flexibility and may be easily modified or extended to meet the specific needs of each Chinese Government Agency or Large Enterprise Companies. SKY O/A™ uses web-based technology and allows multiple workers to collaborate on a single project. The Company also provides a SKY O/A version with fully integrated VoIP or digital voice telephone services which is referred to as a “seat”. CVC GLOBALCALL, Inc.
CVC GLOBALCALL, INC serves fixed line, mobile, wholesale and VoIP carriers as well as calling card, ISPs and content providers around the world who buy and sell voice and IP telecommunications capacity. The Company’s Network Operations Center (NOC) is fully manned 24 x 7. Our NOC is a secure location that contains battery backup and power generators to eliminate electrical outages, and several rack-mounted servers and other equipment needed to support our network. The NOC monitors all aspects of the technical environment, from its extensive backbone to network routers, SIP proxies, numerous routing gateways and soft switches.
The Company’s network consists primarily of communications services providers that buy and sell international voice minutes through our enhanced services platform. Most of the Company’s business is generated by us acting as a cost-effective middleman to direct connections. In this very fluid and ever changing business, rates change frequently as do the availability of quality routes. The Company focuses on selling high volumes of international termination business. The Company has Network Operations Centers located in Tampa and Boca Raton, Florida.
